TOXIC AVENGER “Lunch with Lloyd” Giveaway

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS SWEEPSTAKES. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. THIS SWEEPSTAKES IS VOID WHERE PROHIBITED BY LAW.

You must have Internet access and an active Instagram account to participate.

BY ENTERING THIS GIVEAWAY, YOU AGREE TO THESE OFFICIAL RULES (“Official Rules”).

1. SPONSOR & ADMINISTRATOR Cineverse Entertainment Corp. 2355 Westwood Blvd #779, Los Angeles, CA, US (“Sponsor” or “Administrator”), will sponsor a promotional sweepstakes (“Sweepstakes”).

2. ELIGIBILITY: This Sweepstakes is open to individuals who: (i) have a valid Instagram account (ii) are legal residents of the fifty (50) United States of America and the District of Columbia (“Territory”); and (iii) who are at least eighteen (18) years of age or who have reached the age of majority, at the time of their entering this Sweepstakes (whichever is older). Employees (and their immediate family members and members of the same household) of Sponsor and its affiliates, agents, advertising or Sweepstakes agencies are not eligible to participate in this Sweepstakes. Limit of one (1) entry per person per “Entry Period” (defined in 3 below), regardless of the number of Instagram comments a person may post. Multiple entries and/or mass entry attempts will result in disqualification of all entries by such person. Entries must be manually key-stroked by the entrant; use of automated entry devices or programs, or entries by third parties are prohibited. Entries that do not conform to or violate these Official Rules or are submitted in any manner other than stated in these Official Rules will be disqualified. Proof of submission of entry does not constitute proof of receipt of same.

By entering this Sweepstakes, entrants agree to these Official Rules and the decisions of the Administrator and Sponsor, which are binding and final in all matters relating to this Sweepstakes. We are not responsible for excess, lost, late, or incomplete entries. If disputed, entries will be deemed submitted by the authorized account holder of the email address, social media account, or other method used to enter. All winners in this Sweepstakes must meet these eligibility requirements to receive the prizes. For purposes of these Official Rules, all times and days are Eastern Time. The administrator’s computer is the official clock for all matters related to this Sweepstakes. Void where prohibited or restricted by law.

3. HOW TO ENTER: The Sweepstakes begins on 5/9/25 at 9 AM Eastern Time (“ET”) and ends on 5/16/25 at 9 AM ET (“Entry Period”).

No purchase necessary.

(i) Follow the @toxicavenger account on Instagram and comment on the post tagging (5) additional friends and use the hashtags #LunchWithLloyd and #OfficialTAGiveaway;

(ii) Fill out entry form at https://toxicavenger.com/lloyd-lunch/

Participants who enter during the Entry Period will be entered into the Drawing. Normal internet access and usage charges imposed by your internet service provider may apply. Data rates may apply if Sweepstakes entry is submitted via your mobile device according to the terms and conditions of your service agreement with your wireless carrier. Other charges may apply (such as normal airtime and carrier charges as well as charges for wireless Internet access) and may appear on your mobile phone bill or be deducted from your prepaid account balance. Wireless carriers’ rate plans may vary, and you should contact your wireless carrier for more information on messaging/data rate plans and charges relating to your participation in this Sweepstakes. Mobile device service may not be available in all areas. Check your device’s capabilities for specific instructions. Comply with all Instagram rules and policies.

4. ABOUT THIS SWEEPSTAKES & PRIZES: This Sweepstakes, beginning at 9 AM ET on May 9, 2025, and ending on May 16, 2025, at 9 AM ET (“Entry Period”), consists of a drawing (“Drawing”) with up to ONE winner (“Winner”). Odds of winning depend on the number of eligible entries received during Entry Period. The Drawing prize will consist of:

• Winners will win the opportunity to go to lunch with Lloyd Kaufman at a destination of his choosing. The Prize may only be redeemed NEW YORK where Lloyd Kaufman lives. Cineverse will not be responsible for providing travel to or from the location. Cineverse will have the right to film the lunch and use it in promotional efforts for the film.

Approximate retail value (“AVR”) of the Prize: $50 U.S. Dollars. The ARV for the Prize is an estimate made before the Sweepstakes begins. The Winner will not receive compensation for any element(s) of the Prize that Winner is unable to use for any reason and such unused portion(s) of the Prize will be forfeited. Any difference between the ARV and the actual cost of the Prize will not be awarded. The Prize is non-assignable and non-transferable, and is not redeemable, exchangeable or substitutable for cash. All taxes and other expenses associated with a prize (unless otherwise stated herein) are each winner’s sole responsibility. Sponsor reserves the right to substitute a prize of equal or greater value. Sponsor is not responsible for Winner’s ability to access email Winner’s email account or otherwise. All prizes are awarded “AS IS” and WITHOUT SPONSOR WARRANTY OF ANY KIND, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose). No substitution, transfer, or assignment of prize permitted, except that Sponsor reserves the right to substitute a prize of equal or greater value in the event the offered prize is unavailable.

5. SELECTION OF WINNER: Winner will be selected from among all eligible entries received during the Entry Period in a random drawing conducted by the Administrator on or about May 16, 2025. Administrator will notify Winner of the drawing by Instagram direct message.

6. TO CLAIM PRIZE: To claim a prize, the Winner must accept the prize within twenty-four (24) hours of Sponsor’s sending of the direct message by following the directions in the message. If a winner fails to comply with any of the provisions of these Official Rules, such Winner will be deemed to have forfeited the prize, in which case the Sponsor will award the prize to an alternate Winner.

7. DELIVERY OF PRIZE: Within ten (10) business days after receipt of all the requisite documents (completed and signed) from the Winner, Sponsor or donor of prize will, arrange the lunch with the winner the Prize via direct message on Instagram.

8. PERSONAL INFORMATION: By law, the Sponsor is required to release the Winner if requested. If such a request occurs, the Sponsor agrees to notify the winner prior to the release of the winner. Also, personal information submitted in all entries will also be subject to Sponsor’s Privacy Policy located at https://www.cineverse.com/privacy-policy

9. Use of Entry: By accepting a prize, you agree that Cineverse and its designees may use (but is not obligated to use) your entry, name, image, voice, Instagram handle, posts or hometown in advertisements, online, and in print, or in any other media, in connection with this Sweepstakes without payment or compensation to you, except where prohibited by law.

10. GENERAL: This Sweepstakes and these Official Rules will be governed by and construed in accordance with the laws of the State of California, participants consent to the jurisdiction and venue of the federal, state, and local courts located in California in the County of Los Angeles. Sponsor, Prize donor and its partners, subsidiaries and affiliates will not be responsible or liable for: (i) any late, lost, misrouted, garbled or distorted or damaged transmissions or entries; (ii) telephone, electronic, hardware, software, network, Internet, or other computer- or communications-related malfunctions or failures; (iii) any disruptions, injuries, losses or damages resulting from causes beyond Sponsor’s control; (iv) your noncompliance with the terms of use or other policies of the applicable social media platform or game; or (v) any printing or typographical errors in any materials associated with this Sweepstakes. Sponsor reserves the right, at its sole discretion, to modify, cancel, terminate or suspend this Sweepstakes should any virus, bug, technical failures, unauthorized human intervention, or other causes beyond Sponsor’s control or any other unforeseen or unexpected event corrupt or affect the administration, security, fairness or proper conduct of this Sweepstakes. Sponsor reserves the right, at its sole discretion, to disqualify any entrant if his or her fraud or misconduct affects the integrity of this Sweepstakes. If the integrity of the Sweepstakes cannot be restored, we may select winners from among all eligible entries received before we had to cancel, change or suspend the Sweepstakes. Rules violators will be prosecuted to the full extent of the law and may be banned from participation in Sponsor’s Sweepstakes.

By participating in this Sweepstakes, entrants agree to release and hold harmless Sponsor and its partners, Prize donors, subsidiaries and affiliates, as well as each of their respective officers, directors, employees, agents and representatives and each of their respective successors, representatives and assigns, (collectively, “Released Parties”) from any and all actions, claims, injury, loss or damage arising in any manner, directly or indirectly, from participation in this Sweepstakes or any Sweepstakes-related activity and/or acceptance, receipt, possession or use/misuse of the Prize. By participating in this Sweepstakes, each entrant accepts the terms and conditions stated in these Official Rules, agrees to be bound by the decisions of Sponsor, and warrants that she/he is eligible to participate in this Sweepstakes.

11. WINNERS LIST: For a list of the winners in this Sweepstakes, send a self-addressed, Stamped Envelope (S.A.S.E) to: Lunch with Lloyd Giveaway, Cineverse OTT Holdings, 2355 Westwood Blvd #779, Los Angeles, CA 90064 after June 18, 2025. Winners’ names will not be made available until after all the winners in this Sweepstakes have been determined and notified.

This Sweepstakes is in no way sponsored, endorsed or administered by, or associated with any social media or other platform on which the Sweepstakes is promoted or hosted.
